What Is a Family Limited Partnership?
A family limited partnership is a legal entity in which family members hold interests as either general partners or limited partners. The general partner controls management and distributions. Limited partners hold economic interests but have no management authority and limited ability to force distributions or transfer their interests freely.
FLPs are commonly used to:
- Hold real estate, investment portfolios, or business interests within a single entity
- Facilitate estate planning through discounted gifts of limited partnership interests
- Provide liability protection for underlying assets
- Centralize management of family wealth across generations
The structure that makes FLPs effective for estate planning is precisely what makes them difficult to value and divide in divorce.
Characterization of FLP Interests
As with any asset in a California divorce, the threshold question is whether an FLP interest is community property, separate property, or both. The answer depends on when the interest was acquired and how it was funded:
- An interest acquired during the marriage with community funds is community property subject to division.
- An interest received as a gift from a family member, inherited, or acquired before the marriage is generally separate property.
- Where a spouse received an FLP interest through an ongoing gifting program during the marriage, each transfer is analyzed individually based on its timing and source.
Commingling can complicate the analysis regardless of how the interest was originally acquired. Where a spouse contributed community funds to the partnership, used marital labor to manage partnership assets, or allowed community property to become mixed with partnership holdings, the separate property character of the interest may be partially lost. Tracing is required to establish the boundaries between community and separate property components.
