Family Limited Partnerships in Divorce

Dividing FLP Interests in High-Net-Worth California Divorce

Family limited partnerships are built to restrict transferability, concentrate control, and limit outside access to underlying assets. Those features make them effective estate planning vehicles. They also make them among the most contested assets in a high net worth divorce.

When an FLP interest appears in a divorce proceeding, three questions drive the analysis: what is it worth after applicable discounts, what portion is community property subject to division, and has the structure been used to reduce or conceal assets that belong to both spouses. None of these questions has a simple answer.

Fenchel Family Law represents clients throughout San Francisco and the Bay Area in divorce cases involving family limited partnerships and other closely held entity interests. Backed by decades of experience, our attorneys guide clients step by step through complex property division and work with forensic accountants and valuation specialists when the analysis demands it.

To handle these cases well, counsel needs:

  • Familiarity with FLP structures and the estate planning context in which they arise
  • Experience valuing closely held partnership interests, including applicable discounts
  • Ability to identify when an FLP has been used to obscure or reduce a community property interest
  • Exclusive focus on family law, with deep experience in high-asset divorce matters

What Is a Family Limited Partnership?

A family limited partnership is a legal entity in which family members hold interests as either general partners or limited partners. The general partner controls management and distributions. Limited partners hold economic interests but have no management authority and limited ability to force distributions or transfer their interests freely.

FLPs are commonly used to:

  • Hold real estate, investment portfolios, or business interests within a single entity
  • Facilitate estate planning through discounted gifts of limited partnership interests
  • Provide liability protection for underlying assets
  • Centralize management of family wealth across generations

The structure that makes FLPs effective for estate planning is precisely what makes them difficult to value and divide in divorce.

Characterization of FLP Interests

As with any asset in a California divorce, the threshold question is whether an FLP interest is community property, separate property, or both. The answer depends on when the interest was acquired and how it was funded:

  • An interest acquired during the marriage with community funds is community property subject to division.
  • An interest received as a gift from a family member, inherited, or acquired before the marriage is generally separate property.
  • Where a spouse received an FLP interest through an ongoing gifting program during the marriage, each transfer is analyzed individually based on its timing and source.

Commingling can complicate the analysis regardless of how the interest was originally acquired. Where a spouse contributed community funds to the partnership, used marital labor to manage partnership assets, or allowed community property to become mixed with partnership holdings, the separate property character of the interest may be partially lost. Tracing is required to establish the boundaries between community and separate property components.
